1.2. By engaging our services, you confirm that you are legally capable of entering into a binding agreement.

2. Services Offered
We provide professional digital marketing solutions including (but not limited to):
• Search Engine Optimization (SEO)
• Google Ads & Social Media Ads
• Website Design & Development
• Branding & Creative Design
• Influencer Marketing
All services are customized based on the client’s requirements, timelines, and budgets as outlined in individual proposals or invoices.
3. Project Timelines & Deliverables
3.1. All deliverables and timelines are agreed upon in writing before project commencement.
3.2. Delays caused by incomplete client inputs, approvals, or third-party dependencies may result in timeline extensions.
3.3. Digital Shout will not be liable for delays or performance issues due to external factors (e.g., platform policy changes, ad rejections, or force majeure events).
4. Payments
4.1. All invoices must be paid in full as per the agreed terms (usually advance or milestone-based payments).
4.2. Ad budgets (e.g., Google Ads, Meta Ads) are billed separately and paid directly to the respective platforms or through Digital Shout’s ad accounts when specified.
4.3. All prices are exclusive of applicable taxes (GST), unless stated otherwise.
4.4. Late payments may attract interest charges and may delay campaign delivery.
5. Intellectual Property
5.1. All designs, creatives, and content produced by Digital Shout remain our intellectual property until full payment is received.
5.2. Upon full payment, ownership of deliverables transfers to the client, except for third-party tools, templates, or licensed elements used in the process.
6. Confidentiality
We respect your privacy and confidentiality. All shared business data, credentials, and proprietary information will remain strictly confidential and will not be disclosed to third parties without written consent.
7. Limitation of Liability
7.1. While we aim to deliver measurable results, Digital Shout makes no absolute guarantees on sales, traffic, or rankings, as these depend on external factors.
7.2. Our liability is limited to the total amount paid by the client for the service in question.
7.3. We are not responsible for indirect, incidental, or consequential damages arising from the use of our services.
8. Termination
8.1. Either party may terminate a service agreement by providing written notice of 15 days.
8.2. Upon termination, all outstanding dues must be cleared before project handover.
8.3. Work completed until the termination date will be billed accordingly.
9. Governing Law
These terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.
